Independent Contractor Agreement

1.Independent Contractor Relationship

• By registering as a Technician on HogarFix AI, you acknowledge and agree that you are an independent contractor and NOT an employee, agent, partner, or joint venturer of HogarFix AI, LLC.
• HogarFix AI does not control the manner or means by which you provide services, your work hours, the tools you use, or how you interact with customers.
• This Agreement does not create any employment relationship. You have no right to employee benefits of any kind, including health insurance, workers' compensation, unemployment insurance, or paid leave.
• You have the right to perform services for other clients outside of the Platform, subject to the non-solicitation clause below.
• You are solely responsible for all aspects of how you conduct your business.

2.Tax Obligations (1099)

• As an independent contractor, you are solely responsible for all federal, state, and local taxes on income earned through the Platform.
• HogarFix AI will NOT withhold income taxes, Social Security, or Medicare taxes from your earnings.
• If you earn $600 or more in a calendar year through the Platform, HogarFix AI will issue you a Form 1099-NEC as required by IRS regulations.
• You must provide accurate tax identification information (SSN or EIN) to receive payouts. Failure to provide this information may result in backup withholding.
• You are strongly encouraged to consult a tax professional regarding your obligations and to set aside money for quarterly estimated tax payments.
• HogarFix AI is not liable for any taxes, penalties, or interest you owe to any taxing authority.

3.License Requirements

• The State of Texas requires licenses for certain trades. By accepting jobs in the following categories, you represent and warrant that you hold a valid, current Texas license: Plumbing (TSBPE License), Electrical (TECL License), HVAC (TDLR License).
• You must upload proof of licensure for any licensed trade category. HogarFix AI will verify your license before activating you in that category.
• You must immediately notify HogarFix AI if your license expires, is suspended, or is revoked.
• Performing licensed work without a valid license is a violation of Texas law and these Terms and may result in immediate termination from the Platform.
• For unlicensed categories (Handyman, Painting, Landscaping, Cleaning), you represent that the work you perform does not require a license under applicable law.

4.Insurance

• HogarFix AI strongly recommends that all Technicians carry general liability insurance with a minimum of $300,000 per occurrence.
• Insurance is currently not required by the Platform but may become required in the future with 30 days notice.
• You are solely responsible for any property damage or personal injury you cause while performing services.
• HogarFix AI is not responsible for and will not cover any damages, injuries, or claims arising from your work.
• If you carry insurance, you may list your insurance information on your profile to build trust with Homeowners.

5.Non-Solicitation

• For a period of six (6) months following your first contact with a Homeowner through the Platform, you agree not to solicit, accept, or perform services for that Homeowner outside the Platform.
• This restriction applies to services that fall within the same category as the job(s) you performed through the Platform for that Homeowner.
• This restriction does not apply to relationships you had with the Homeowner prior to using HogarFix AI.
• A violation of this clause may result in immediate termination from the Platform and may subject you to liability for damages including lost platform fees.
• After the 6-month period, you are free to conduct business with that Homeowner outside the Platform.

6.Commission Structure & Payment Terms

• HogarFix AI charges a 10% platform fee on all services booked through the Platform.
• You will receive 90% of the agreed service price after the homeowner confirms completion and payment is processed.
• Payments are held for a 7-day period after payment is received to allow for dispute resolution.
• Payouts are made through Stripe Connect to your connected bank account. You must complete Stripe's onboarding and verification to receive payouts.
• HogarFix AI reserves the right to withhold payouts during active disputes, fraud investigations, or account suspensions.
• All payments for services must go through the Platform. Accepting cash or other out-of-platform payments is prohibited.

7.Code of Conduct

• Treat all Homeowners, HogarFix AI staff, and other Technicians with respect and professionalism.
• Arrive on time for scheduled appointments or communicate delays promptly.
• Only accept jobs for which you are qualified and licensed (if applicable).
• Provide accurate descriptions of work performed and costs.
• Do not misrepresent your qualifications, experience, or licensing status.
• Do not engage in harassment, discrimination, or threatening behavior of any kind.
• Do not solicit tips, additional payments, or personal contact information in ways that violate these Terms.
• Maintain a clean and professional appearance and demeanor at all job sites.
• Report any safety hazards, illegal activity, or unusual circumstances to HogarFix AI support immediately.

8.Background Check Consent

By registering as a Technician, you consent to HogarFix AI conducting or contracting for a background check, including criminal history, at any time during your participation on the Platform. You authorize HogarFix AI to use this information to evaluate your eligibility to participate on the Platform. Background checks are conducted in accordance with the Fair Credit Reporting Act (FCRA) and applicable state laws.

9.Grounds for Termination

• Providing false or misleading information during registration or at any time thereafter.
• Performing licensed work without a valid Texas license.
• Soliciting or accepting payments outside the Platform.
• Violations of the Code of Conduct, including harassment or unsafe behavior.
• Fraud, theft, or dishonest conduct.
• Failure to pass or maintain satisfactory background check results.
• A pattern of poor reviews, complaints, or disputes.
• Abandoning jobs or repeated cancellations.
• Violation of any term in this Agreement or the HogarFix AI Terms of Service.
• Upon termination, any pending earnings for completed, paid jobs will be released after the hold period unless withheld due to disputes or fraud.

10.Entire Agreement

This Independent Contractor Agreement, together with HogarFix AI's Terms of Service and Privacy Policy, constitutes the entire agreement between you and HogarFix AI with respect to your participation on the Platform as a Technician. This Agreement supersedes all prior agreements, representations, or understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect. Governing Law: State of Texas Contact: support@hogarfixai.com
